Scope: Government technical, engineering, and enterprise IT services business retaining the SAIC name

Leidos org row represents the direct continuation of the pre-2013 SAIC, Inc. legal entity (renamed); the SAIC org row represents the newly organized spin-off company distributed to shareholders.

    Event context

SAIC, Inc. (the pre-2013 diversified government services/technical company) separated into two independent public companies effective after market close on Sept 27, 2013. The continuing legal entity (same SEC registrant/CIK) was renamed Leidos Holdings, Inc. and kept the larger national security, health, and engineering business. A newly organized company retained the "Science Applications International Corporation" (SAIC) name and received the smaller government technical/enterprise IT services business via pro rata distribution (1 SAIC share per 7 SAIC(old)/Leidos shares held). Trading began Sept 30, 2013 as LDOS and SAIC respectively. Confirmed via SEC Form 8-K filings and contemporaneous reporting (Washington Post, WashingtonExec).
