    TRW Inc.

Scope: TRW Inc. (aerospace, defense electronics, and space/IT segments)

TRW's separate automotive business (TRW Automotive Holdings) was divested to The Blackstone Group in a concurrent, distinct transaction closing February 2003 and is not represented here.

    Event context

Northrop Grumman completed its acquisition of TRW Inc. on December 11, 2002 (Richmond Acquisition Corp., a Northrop Grumman subsidiary, merged into TRW) following stockholder approval of both companies the same day. Deal value approximately $7.8 billion in stock (~$60/share) plus assumption of TRW net debt; made Northrop Grumman the No. 2 U.S. defense contractor at the time. TRW's automotive business (TRW Automotive) was concurrently divested to The Blackstone Group, closing February 2003, and is not part of this transaction. DATA NOTE: "TRW" / "TRW Inc." has no distinct canonical organization row in this database -- it exists only as an entity_alias pointing to the Northrop Grumman org_id. This event therefore uses the Northrop Grumman organization for both the acquirer and target roles as the best available representation; a data steward may want to create a distinct canonical "TRW Inc." organization row for cleaner heritage modeling. Confirmed via Northrop Grumman press releases and SEC Form 8-K/424B3 filings; corroborated by FlightGlobal.
